All intellectual property rights related to the website developed by the Company, including but not limited to design, code, graphics, and content, belong to the Company unless otherwise specified in the service agreement.
The client agrees to provide all necessary information, materials, and feedback required for the development process. The client is responsible for ensuring the accuracy and legality of the provided content.
The client agrees to pay the agreed-upon fees and expenses as outlined in the service agreement. Payment terms, including deposit, milestones, and final payment, will be specified in the agreement. The Company reserves the right to suspend services for non-payment.
Both parties agree to maintain the confidentiality of any proprietary or confidential information exchanged during the course of the project. This includes trade secrets, client data, and any other sensitive information.
The Company will make reasonable efforts to meet project timelines as agreed upon. However, unforeseen circumstances or delays beyond the Company’s control may occur, and the client agrees to be flexible within reason.
The Company shall not be held liable for any damages, losses, or expenses incurred by the client or any third party arising from the use or inability to use the website or services provided by the Company.
Either party may terminate the project or service agreement with prior written notice. The client will be responsible for paying any outstanding fees for work completed up to the termination date.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TechnoVent LLC is located, without regard to its conflict of law provisions.
These Terms constitute the entire agreement between the client and TechnoVent LLC regarding the web development services and supersede any prior agreements or understandings, whether written or oral.
